IMPORTANT NOTICE: SWC is not a broker, investment adviser, financial intermediary, or licensed financial institution. The Service does not perform regulated financial activities. The AI audit is generated fully automatically without human participation or verification by a licensed professional. You may not rely on the AI audit as a basis for making financial, investment, or legal decisions. SWC does not act as a fiduciary toward the user.

1. General Provisions

These Terms of Use (the "Terms") govern access to the informational service for automated AI assessment of commercial projects and business concepts provided by KEYSTRA Ltd. under the Sky World Community brand ("SWC", "we") via swcpitch.com (the "Service").

KEYSTRA Ltd. is incorporated in the Republic of Seychelles (Company No. C984038, International Business Companies Act, 2016). Registered office: Suite 9, Ansuya Estate, Revolution Ave, Victoria, Seychelles.

By using the Service, you confirm that:

you have read and accepted these Terms;
you are at least 18 years old;
you act on your own behalf or with proper authority from a legal entity.

2. Nature of the Service

2.1. What the Service Is

SWC provides a tool for automated AI generation of an informational report ("AI audit") regarding a user's commercial project or business concept based on the data entered by the user. The Service uses the Claude language model (Anthropic, PBC). AI audit generation is fully automated, without human participation or verification by a licensed professional. Results may differ on repeated processing of identical data.

2.2. What the Service Is Not

The AI audit and any Service materials do not constitute:

investment advice within the meaning of applicable law (MiFID II, UK FCA rules, etc.);
securities, collective investment, or crypto-asset analysis;
financial intermediation, deal structuring, or capital raising;
legal, tax, or accounting advice;
professional due diligence or audit opinion;
confirmation of legality, regulatory compliance, or investment suitability;
"investment readiness", "endorsement", "recommendation", or "certification" by SWC;
SWC's obligation to fund, introduce to investors, or recommend a project;
any guarantee of capital raise or other outcome;
fiduciary, agency, or advisory relationship between SWC and user.

2.3. SWC Does Not Perform Regulated Activities

SWC explicitly states that it is not and does not act as a broker, dealer, asset manager, investment adviser, financial promoter, or exchange operator in any jurisdiction.

2.4. No-Reliance Clause

The user must independently verify all conclusions of the AI audit with licensed professionals prior to making any business, financial, or legal decisions. Reliance on the AI audit as the sole basis for such decisions is solely at the user's risk.

3. AI Technology: Limitations and Risks

3.1. Language Model Characteristics

The user acknowledges and accepts that:

language models are probabilistic systems with no accuracy guarantee;
AI systems may generate factually inaccurate, outdated, or misleading information ("hallucinations");
the AI audit is based on user-provided data without independent verification by SWC;
results are not verified by licensed professionals;
results may differ on repeated processing;
the model has no access to current market data, registries, or proprietary databases.

3.2. Data Transfer to Anthropic

To generate the AI audit, data entered by the user is automatically transferred to Anthropic, PBC (USA) via a secure API. By using the Service, you explicitly and voluntarily consent to such transfer.

SWC uses the Anthropic API in zero data retention / no training mode as of the publication date of these Terms. SWC cannot guarantee this policy will remain unchanged in the future.

Do not enter: trade secrets, personal data of third parties, state or medical secrets, information whose disclosure is prohibited by applicable law or contracts.

4. Rights to Content and Data

4.1. User Data

The user retains all rights to submitted project data. The user grants SWC and its subprocessors (including Anthropic, PBC) a worldwide, non-exclusive, sublicensable, revocable licence to process such data solely for:

Service provision and AI audit generation;
improvement of SWC algorithms — only in anonymised, aggregated form;
internal storage and analytics;
business communications.

The user may revoke the licence by contacting privacy@swcpitch.com; revocation results in data deletion per the Privacy Policy.

4.2. AI Audit (Generated Report)

SWC grants the user a limited, non-exclusive, non-transferable, revocable licence to use the AI audit for:

internal project analysis;
presentations to investors, partners, and advisers;
inclusion of excerpts in pitch decks with mandatory attribution: "Prepared with the Sky World Community AI tool (swcpitch.com)".

Use of the AI audit in a manner that creates the impression of SWC endorsement, recommendation, certification, or guarantee of the project is prohibited.

4.3. Sky World Community Brand

Use of the Sky World Community / SWC brand, trademarks, logos, and name for any commercial or public purposes without prior written permission is prohibited.

4.4. Feedback

SWC may use user feedback, suggestions, or comments to improve the Service without obligations or compensation to the user.

4.5. Prohibited Content Use

reproduce or commercially use Service materials without SWC's written consent;
use the Service for competitive intelligence or scraping;
reverse-engineer algorithms, methodology, or Service code;
use the Service to create competing products;
create the impression of SWC endorsement.

5. Acceptable Use and Sanctions Compliance

5.1. User Warranties

By using the Service, you represent and warrant that:

all information submitted is accurate and current;
you are authorised to disclose such information;
you do not enter third-party personal data without their consent;
you do not use the Service for fraudulent or unlawful purposes;
use of the Service does not breach sanctions, export control, or AML laws.

5.2. Prohibited Industries

evasion of UN, EU, US (OFAC), UK, or other applicable sanctions;
weapons, dual-use, nuclear/biological/chemical materials;
Ponzi schemes, illegal MLM structures;
illicit drug trade;
unlicensed gambling;
terrorism or extremism financing;
unlicensed securities or token issuance;
any unlawful activity.

5.3. Sanctions Compliance

The Service is not intended for persons or entities under UN, EU, US (OFAC), UK, or other applicable sanctions. The user confirms they are not such a person.

6. Privacy and Personal Data

Personal data is processed in accordance with the Privacy Policy. For EEA users, processing is based on:

contract performance (Art. 6(1)(b)) — for Service provision;
explicit consent (Art. 6(1)(a)) — for transfer to Anthropic (USA);
legitimate interest (Art. 6(1)(f)) — for improvement and business communications.

7. Limitation of Liability

The Service is provided "as is" without warranties of accuracy, completeness, or fitness for a particular purpose.

To the maximum extent permitted by law, SWC shall not be liable for:

any direct, indirect, incidental, or consequential losses;
decisions based on AI audits by users or third parties;
inaccuracies, errors, or hallucinations of the language model;
outages caused by Anthropic API or third-party infrastructure;
data loss, lost profits, reputational harm;
cybersecurity incidents not caused by SWC's intent or gross negligence.

Aggregate liability of SWC is limited to the greater of: (a) amounts paid by the user during the previous 12 months; or (b) USD 100 during a free-use period. This limit does not apply to harm to life/health or SWC's wilful misconduct or gross negligence.

8. Force Majeure

SWC shall not be liable for failures caused by force majeure: natural disasters, pandemics, hostilities, internet infrastructure outages, Anthropic API unavailability, or cyberattacks.

9. No Regulatory Guarantee

The AI audit does not confirm legality, regulatory compliance, AML/KYC compliance, or investment suitability. Mention of a project in the AI audit does not constitute SWC endorsement or certification.

10. Termination

SWC may suspend or terminate access without prior notice in case of Terms violations, breach of law, or harmful conduct.

11. Amendments

SWC may amend these Terms. Material changes affecting users' rights will be notified by email at least 14 days in advance. The current version is at swcpitch.com/terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Seychelles. Disputes shall first be resolved through negotiations within 30 days. Unresolved disputes shall be submitted to the courts of the Republic of Seychelles.

For consumers residing in EU Member States, these Terms do not deprive you of the right to bring proceedings in your local competent court and benefit from mandatory consumer protection rules of your country.

13. Miscellaneous

Severability: invalidity of one provision shall not affect the remaining provisions.
Entire Agreement: these Terms together with the Privacy Policy constitute the entire agreement.
No Waiver: SWC's failure to enforce any provision does not constitute waiver.
Language: the Russian-language version prevails in case of discrepancies.
Pricing: the Service is currently provided free of charge.
Cybersecurity: SWC implements reasonable technical and organisational measures.
